These Terms of Service ("Terms") govern your use of Sorai Academy (the "Service"), an online learning platform operated by tangent3 Limited (Hong Kong) ("tangent3", "we", "us", "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of terms
By creating an account, accessing content, or using any part of the Service, you confirm that:
- You are able to enter into a binding agreement; and
- You have read, understood, and agree to be bound by these Terms and any policies referenced in them.
2. Use license
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the learning materials on Sorai Academy for your own individual, non-commercial educational use.
Under this license, you may not:
- Modify, copy, distribute, or resell the materials;
- Use the materials for any commercial purpose or any public display;
- Attempt to reverse engineer or otherwise access the source code of any part of the Service;
- Remove or alter any copyright, trademark, or other proprietary notices.
This is a license to use the Service, not a transfer of ownership. We may revoke this license if you violate these Terms.
3. User accounts
You may need an account to access certain features or courses. You agree to:
- Provide accurate and up-to-date information when creating your account;
- Keep your login details confidential and secure;
- Accept responsibility for all activity that occurs under your account.
If you believe your account has been compromised, notify us as soon as possible at support@sorai.academy.
4. Payments, subscriptions, and refunds
Some parts of the Service require payment (one-time course purchases and/or subscriptions). Payments are processed by third-party payment providers. By providing payment details, you authorize us and our payment providers to charge the applicable fees, including applicable taxes.
4.1 One-time purchases (courses)
Unless stated otherwise at checkout, one-time course purchases are non-transferable and grant access for the access period described on the purchase page.
4.2 Subscriptions (annual or recurring)
If you purchase a subscription, it will automatically renew at the end of each billing period unless you cancel before renewal. You can cancel at any time through your account settings (or by contacting support). Cancellation takes effect at the end of the current billing period unless required otherwise by law. Unless stated at checkout or required by law, we do not provide prorated refunds for partial subscription periods.
4.3 Refunds
Unless different terms are displayed at checkout or required by law:
- You may request a refund for a one-time course purchase within 7 days of payment only if you have not accessed more than 50% of total course content (measured by video minutes viewed and/or modules completed) and have not earned a completion certificate.
- We may deny refund requests where course access indicates significant consumption beyond the threshold above.
Digital content notice (where applicable): If you receive immediate access to digital content (e.g., streaming video lessons) after purchase, you may be asked to consent to immediate performance and acknowledge that you may lose any statutory right to withdraw once access begins, where such rules apply.
How to request a refund: Email support@sorai.academy with your account email and order details. Approved refunds are issued to the original payment method within 5–10 business days (timing may vary by payment provider).
5. Educational use and no guarantees
Sorai Academy provides educational content and tools intended to support your learning:
- We do not guarantee any particular learning outcome, grade, certification, or professional result.
- You are responsible for how you use the information and skills you gain through the Service.
- The Service is not a substitute for professional advice in areas such as legal, financial, medical, or other specialized fields.
6. AI services
The Service may include AI-powered features to support your learning. AI-generated responses may be inaccurate or incomplete and should not be relied on as professional advice. You are responsible for verifying information before acting on it.
7. Acceptable use
You agree to use the Service only for lawful, personal learning purposes. You must not misuse the Service or help others do so, including by attempting to bypass protections, disrupt the Service, or generate or share harmful or unlawful content. We may restrict, suspend, or terminate access if we reasonably believe you have violated these Terms or misused the Service.
8. Disclaimer
The Service and all materials are provided on an "as is" and "as available" basis. tangent3 makes no warranties or representations of any kind, whether express or implied, including, without limitation:
- Implied warranties of merchantability;
- Fitness for a particular purpose;
- Non-infringement of intellectual property or other rights.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the content will always be accurate or complete.
9. Limitations of liability
To the maximum extent permitted by law:
- tangent3 (including its owners, employees, and partners) will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, business, or goodwill, arising out of or related to your use of or inability to use the Service.
- Our total liability for any claim relating to the Service will be limited to the amount you paid to us for access to the Service during the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you and will apply only to the extent permitted by law.
10. Changes to these terms
We may update these Terms from time to time to reflect changes to our Service, our business, or applicable laws. When we make changes, we will update the "Last updated" date at the top of this page.
For changes that materially affect your rights or obligations, we may also provide additional notice, for example by sending an email to the address associated with your account or by displaying an in-service notification.
Your continued use of the Service after the updated terms become effective means you accept the changes.
