By participating in the Sorai for Students “Give $9. Get $9.” Referral Campaign (the “Campaign”), you agree to these Terms & Conditions (the “Terms”).
1. How It Works
The Offer. For each eligible new student you refer (a “Friend”) who purchases a Sorai for Students bundle using your unique referral link, (i) you may earn a $9 USD referral reward and (ii) your Friend receives a $9 USD discount applied at checkout.
Tracking via Referral Link. You will be provided a unique referral link. The Friend must use this link to complete checkout for the discount and reward to be tracked. We cannot retroactively apply referrals if the link was not used.
Limitations. The discount and reward apply only to purchases of the Sorai for Students bundle specified for this Campaign and may not apply to other products, add-ons, or purchases.
2. Eligibility
Referrer Eligibility. To participate as a referrer (the “Referrer”), you must:
- be a current Sorai user with an active account;
- have purchased the Sorai for Students bundle (as determined by our records); and
- be at least 18 years old (or the age of majority in your place of residence) and legally able to enter into a binding agreement.
Friend Eligibility. The referred Friend must be a new customer. A “new customer” means the Friend has not previously purchased Sorai products and has not previously created an account (including via alternate or multiple email addresses). Sorai may determine eligibility in its sole discretion based on internal records and fraud signals.
Geographic & Legal Availability. The Campaign is void where prohibited or restricted by law. Participation is not available to:
- residents of jurisdictions that are embargoed/sanctioned or otherwise restricted under applicable laws; or
- any individual or entity subject to sanctions or listed on restricted-party lists.
We may screen participants and withhold rewards to comply with applicable laws and policies.
3. Payouts & Payment Schedule
Reward Amount. You earn $9 USD per eligible Friend purchase, subject to these Terms.
Minimum Payout Threshold. Cash payouts are only available once you reach a minimum of $90 USD in eligible rewards (equivalent to 10 eligible referrals). Rewards below the threshold will roll forward until the threshold is met.
Holding / Review Period. To protect against refunds, chargebacks, and fraud, each reward is subject to a 30-day holding period before it becomes eligible for payout (e.g., a purchase on March 1 becomes eligible on March 31).
Manual Payout Request Required. Even after meeting the threshold and holding period, you must submit a payout request via the method we provide (e.g., within the referral dashboard or your Sorai account). If you do not request payout, eligible rewards may remain accrued until you do.
Payout Frequency. Payouts are processed monthly, typically for rewards that have cleared the holding period and meet the minimum threshold by the applicable monthly cutoff date (as communicated in the payout interface or support documentation).
Payment Method. Payouts are made strictly via Wise. You must maintain a valid Wise account in good standing and be located in a country/region supported by Wise for receiving payments. If Wise payouts are unavailable in your location, you may be ineligible for cash payout under this Campaign.
Fees & FX. Sorai Academy covers sending fees (if any) for Wise payouts. You are responsible for any fees or foreign exchange conversion costs charged by Wise or your bank, and any taxes you may owe.
4. Disclosure & Marketing Conduct
Disclosure Required. If you share your referral link publicly (social media, website, email, messaging groups), you must clearly disclose that you may receive a reward (e.g., “I may earn a referral reward if you purchase”).
No Misleading Claims. You must not make misleading, deceptive, or unsubstantiated claims about Sorai (including pricing, outcomes, certifications, job guarantees, or “official partnership” status).
Compliance With Laws. You are responsible for complying with all applicable laws, regulations, and platform policies related to advertising, endorsements, and marketing disclosures.
5. Prohibited Activities (Fraud Prevention)
We take fraud seriously. Any attempt to game the system may result in immediate disqualification and forfeiture of unpaid rewards.
- No Self-Referrals. You may not refer yourself or create additional accounts to generate rewards, including using alternate emails, burner emails, or third-party payment methods.
- No Coupon/Deal Sites. You may not post referral links on coupon, promo code, or deal aggregation sites.
- No Paid Search or Keyword Targeting. You may not run PPC/paid ads targeting Sorai-branded keywords or impersonate Sorai in ads, domains, or social handles.
- No Spam. You may not send unsolicited bulk messages or engage in abusive, deceptive, or harassing promotion.
6. Fraud Detection, Verification, Clawbacks & Withholding
Fraud Detection. We use automated and manual review systems and may deny or reverse rewards if we detect suspicious activity, including (without limitation):
- matching IP addresses, devices, or payment fingerprints;
- disposable/temporary email usage;
- unusually high referral volumes in short periods without credible sources;
- chargebacks, disputes, or refunds.
Verification (KYC-lite / as needed). Before processing payouts, we may require additional information to verify your identity, eligibility, and payout details. If you fail verification or refuse to provide requested information, we may withhold or deny payouts.
Clawbacks / Reversals. If a Friend's purchase is later refunded, charged back, disputed, or found to be fraudulent or ineligible, the related reward will be voided. If it was already paid out, we may offset it against future rewards or require repayment where permitted by law.
Right to Withhold. We may suspend or withhold rewards or payouts where we believe there is fraud, abuse, legal risk, or violations of these Terms.
7. Right to Modify, Suspend, or Terminate
Sorai Academy may modify, suspend, or terminate the Campaign or these Terms at any time. If the Campaign is terminated, eligible rewards earned prior to the termination date will remain subject to the holding period, verification, minimum threshold, and other Terms herein.
8. Relationship & Taxes
Participation does not create an employment, agency, partnership, or joint venture relationship between you and Sorai Academy. You are an independent participant and are responsible for reporting and paying any taxes related to rewards you receive, where applicable.
